Confirmation of Beneficial Owners Information for the year 2025
Αll companies incorporated or registered under the Companies Law, Cap. 113, all European Public Limited Companies (SEs), and all Partnerships (hereinafter referred to as “Organizations”), are required between 1st October 2025 and 31st December 2025 to proceed with the confirmation of the details of their Beneficial Owners (BOs) or Senior Management Officials (SMOs) or to apply due diligence (as applicable in each case) which are recorded to the Beneficial Owners Registry kept with the Department of the Registrar of Companies and Intellectual Property (DRCIP).
Please note that failure to comply within the above timeframe, regardless of any criminal liability or prosecution of any person, the company or other legal entity will be subject to a fine of one hundred euros (€100) for the first day of non-compliance, and an additional fine of fifty euros (€50) for each subsequent day of continued violation, up to a maximum total fine of five thousand euros (€5,000).
Update Company Registry data
In the context of the ongoing efforts to ensure the accuracy and completeness of the information contained in the Companies Registry, the Department of the Registrar of Companies and Intellectual Property urges all registered companies to proceed with the update of their data in accordance with the provisions of the applicable legislation.
Special attention is drawn to PUBLIC Companies which, although not obliged to submit the notification form for the transfer of shares and/or change in shareholder details (HE57), are required to file their annual reports, in order to ensure the updating of the shareholders’ registry.
The updating of information is essential for the purposes of transparency and the proper functioning of the corporate framework. In cases of not compliance, the relevant procedures and consequences provided for under the Companies Law, Chapt.113, shall apply.
